We’re seeking a Partner to lead our Legal Department (Legal Development & Execution based in the San Francisco Bay Area). The Partner, Legal role is for someone who thrives on creating and building best-in-class processes within a lean, empowered team. The position affords the successful candidate an opportunity to help Sway maintain and improve our LP records.
Roles and Responsibilities
Work with General Partners leading transactions to review key documents for accuracy and intent around deal terms.
Provide legal advice and service on early stage, strategic development/commercialization agreements, and complex intellectual property matters comprising IP development.
Manage legal processes and due diligence for strategic investments in early stage and growth stage companies.
Draft and negotiate term sheets and final definitive documents for investments, strategic partnerships, joint ventures and related technology development and commercialization projects.
Responsible for preparation and review of all legal documents
Review any and all legal documents associated with investments and management co. (convertible / SAFE notes, Lines of credit, transfer agreements, related matters).
Prepare documents for all internal legal matters (e.g. offer letters, consulting agreements, partnership LOIs, JVs, MOUs, placement agent agreements, etc.).
Assist the Partner, Finance and Operations and other team members with:
Addressing all FATCA filings associated with Cayman vehicles (with the support of an Associate).
Coordinate all LP Capital Calls.
Assist with any LP questions concerning LPAs and/or compliance related matters.
Assist with all IPO transactions and distributions to LPs – ensure that distributions are conducted as stated in the LPA.
Set up and maintain fund vehicles with outside council support.
Any and all co-investment vehicles via liaison with law firm(s)
Ensure compliance with all LPAs
Maintain the compliance manual and assure distribution.
Manage the process of all ADV filings with compliance counsel.
Manage all internal compliance related matters (with assistance from outside counsel, as needed).
Undergraduate and J.D. degrees from recognized institutions.
Active license to practice in California, required.
Three to seven years of experience handling corporate financing transactions in the venture capital space, preferred.
Experience working with outside counsel regarding fund compliance matters, preferred.
Knowledgeable about S-1 filings and working with fund administrators is a plus.
Candidate has the ability to handle responsibilities with a minimum amount of oversight.
Must have the ability to organize, plan, coordinate and implement large and ongoing projects with the ability to work independently and as part of a team.
Must have the ability to contribute to discussions of general business issues and understand and counsel the partnership in a manner consistent with the firm’s goals and culture.
Must have excellent written and oral communications skills and the flexibility to work within a fast-changing priorities environment.
Must have good judgment, a high level of professional integrity and the discretion, tact, and ability to maintain confidentiality.
